User Agreement & Terms of Use

1. This agreement

This User Agreement and Terms of Use (the “Agreement”) govern your use of the websites, mobile applications, alerts, data feeds and other services operated by GovDirections, LLC (“GovDirections”, “we” or “us”) that are listed in Section 2 or that link to this Agreement (together, the “Sites” and “Services”).

The same Agreement applies on every Site. It is published at govdirections.com/pages/ua, and every other Site links to it. Our Privacy Policy and Legal Information page are part of this Agreement.

2. Sites and Services covered

All of the following are owned and operated by GovDirections, LLC. RFP Delivery by GovDirections, Agora by GovDirections and GovAdvice by GovDirections are brands of GovDirections, LLC, not separate companies.

When we refer to these brands we always use their full names. One account, membership or payment with any of these brands is with GovDirections, LLC and is governed by this Agreement.

3. About GovDirections

GovDirections, LLC is located in Atlanta, Georgia. We have served the government procurement market since 1998; GovDirections, LLC began operation on March 6, 2006. We provide both free and paid subscription options.

Our primary service includes consulting reports delivered at various intervals to alert users about planned government spending to acquire goods and services. We use a combination of automated and manual research processes to gather data, including active, awarded and upcoming government bids, contracts, requests for proposals, requests for information and similar data. Our subscribers use this information to enhance their business opportunities. We also offer online learning and technical advice to assist members.

We are not affiliated with any government agency, nor do we serve for their benefit. Governments may, and do, choose to post announcements directly so our members are alerted to possible matches. We also use application programming interfaces (APIs) to give users quick access to data published by governments and other third parties.

4. License grant

We grant to you, the User, and you accept, a license to use our Sites and Services in accordance with the terms contained in this Agreement.

We make no warranties respecting any harm. We provide paid and free services. Free services may include a variety of information at our discretion. We may choose not to provide free services and may terminate your account at any time without cause.

5. Acceptable use & access limits

Your membership is a personal, non-transferable license to review government bid and RFP opportunities for your own business use. To protect the accuracy and availability of our data for every member, the following limits apply on every Site and app, regardless of membership tier, including “Unlimited” plans:

No automated access. You may not use any bot, scraper, crawler, spider, headless or cloud-hosted browser, AI agent or assistant, or other automated or programmatic means to access, log in to, extract, index or reproduce our Sites, Services, data or your account. Access is for individual human use only. Sharing your credentials with, or granting account access to, any third-party service (including AI or “cloud browser” tools) is prohibited. The only exception is an RFP Delivery API key used as described in Section 6.

No redistribution. You may not resell, republish, redistribute, syndicate or create any competing or derivative product or dataset from our content.

Plan and usage limits

The following limits apply to your account on every Site and app. The state and industry limits for your plan are also shown when you choose your alert preferences.

International locations are a separate option and do not count toward a plan’s state limit. If your account already holds more states or industries than your plan allows, you may keep or remove them, but you may not add more until your list is within the limit. Grandfathered exceptions are granted only by GovDirections staff, at our discretion; you cannot grant one to yourself.

Need more? For higher volumes or automated access to our data, use the RFP Delivery API under Section 6.

We may throttle, suspend or terminate any account, without notice and without refund, that exceeds these limits, attempts automated or bulk extraction, or otherwise violates this section.

6. RFP Delivery API

The RFP Delivery API at api.rfpdelivery.com is the only permitted way to receive our data programmatically. API data is licensed for your organization’s internal use under your RFP Delivery API agreement. Internal-use plans may not resell or display the data to others; showing our bids inside your own product, to your customers, requires a Platform License. Do not resell, republish or redistribute API data in bulk.

Keep your API key confidential; you are responsible for use of your key. Bid details come from public agencies; always confirm requirements and deadlines in the official solicitation.

Your RFP Delivery API agreement is this Agreement, including this Section 6, together with the plan, pricing and limits described in the API documentation and any written order or quote for your plan. If a signed written agreement with us says something different, the signed agreement controls for API use.

7. User attestation

You attest that you are not an employee, agent, or family member of an employee or agent of any agency, firm, corporation or business providing bid aggregation or delivery services. Violation of this condition will result in termination of access without recourse.

8. Accounts, authentication & cookies

You agree to reaffirm this license each time you authenticate, that is, when you provide your username and password (or another sign-in method we offer) and log in.

Portions of our Sites and apps require authentication, and you may be granted a non-transferable right to access those portions using a password. A single sign-in may give you access to more than one of our Sites. Use of our Sites is tracked using cookies, small pieces of data stored in your browser that our Sites can retrieve to identify you. See our Privacy Policy for details.

Nothing in this Agreement shall be construed as conveying title to the Sites, Services, or any pages or code within them.

9. Information you give us & public supplier profiles

You are responsible for the accuracy of the information you give us, including your company details, capability statement and any documents (such as RFPs) you upload.

Agora by GovDirections Supplier Directory. If you are a member and give us a capability statement or company information, we may publish a public profile of your company in The Supplier Directory. A profile shows company facts only, such as company name, capabilities, certifications, UEI and CAGE codes, your capability statement, and public federal award history taken from USAspending.gov. It does not show personal phone numbers or personal email addresses. Government buyers and others can send your company a message through the profile’s contact form; we forward those messages to you.

By giving us a capability statement or company information, you give GovDirections permission to display, copy and distribute it, without charge, for the purpose of publishing and promoting your profile on our Sites, and you confirm you have the right to do so. You keep ownership of your content.

You may edit your profile from your account, or ask us to change or remove it at any time by emailing [email protected]. We will remove it within a reasonable time.

10. AI features

Some Services use artificial intelligence (“AI”), including Ask GovDirections AI, RFP document analysis, proposal writing help, AI-matched bids, site guides and GovReporter articles. These tools are provided to help you; they are not professional, legal or procurement advice.

• AI can make mistakes. Always check the official solicitation documents before you act or submit.
• AI never submits a bid or contacts an agency on your behalf. You always submit your bid directly to the agency.
• AI does not make decisions about your account, billing or refunds.

AI features are provided using third-party AI services, currently Anthropic (Claude) and OpenAI. The GovDirections RFP Writer GPT is a custom GPT that runs inside ChatGPT; when you use it, OpenAI’s own terms and privacy policy also apply. How AI features handle your information is explained in our Privacy Policy and on our How GovDirections Uses AI page.

11. Data accuracy

We believe the information we gather is reliable and openly available from government sources. However, information is subject to change without notice. It is your responsibility to verify the reliability and accuracy of all information before acting on it. We make no guarantees and assume no responsibility for inaccurate, misclassified or discontinued data.

12. Intellectual property

You shall not copy, sell or transfer any material from the Sites and Services except as this Agreement allows. GovDirections, LLC maintains copyright over the aggregation and presentation of data and content derived from our research processes. All rights are reserved. GovDirections™, RFP Delivery™, Agora by GovDirections™, GovAdvice by GovDirections™, GovSchool™, GovReporter™ and Eagle Eye by GovDirections™ are trademarks of GovDirections, LLC. 13. Billing & subscriptions

• All paid accounts are recurring based on the billing cycle you choose when joining. This includes memberships and paid add-ons on GovDirections.com and RFPdelivery.com.
• We do not require automatically recurring accounts but provide incentives because our expenses are lower. You can opt out within the Manage Billing feature on your dashboard or Member Home page, or with our help.
• We may offer a higher price for a non-recurring option.
• We do not send invoices before billing. Invoice history is available in your Manage Billing feature.
• By paying for your membership by card, you acknowledge the initial and recurring payment feature and accept recurring charges made before cancellation.
• If we cannot process payment, your account may be suspended until payment is resolved. We may attempt to charge your renewal multiple times before final cancellation.
• Payment systems are managed by Stripe. We do not see or store your full card number.
• Professional services (such as RFP and proposal writing by GovAdvice by GovDirections, and coaching) are priced and described when you order them.

14. Cancellation

You may cancel your membership at any time before your next billing date, whichever Site you joined on:

• Email [email protected] from your registered email with a request to cancel;
• Use the Manage Billing feature on your dashboard; or
• Call (800) 492-8523 for personal assistance.

After cancellation, your account will remain active through the paid period at our option unless you instruct us to close it permanently. You may also turn off the Daily Alert within the Settings on your dashboard.

15. Refunds

We do not issue refunds or credits for unused terms. On request, you may transfer the unused time remaining on your membership to another person; contact us to arrange it. For questions about your billing, contact us at (800) 492-8523 or [email protected].

15A. Payment disputes and chargebacks

A chargeback or payment dispute is a serious matter. If you dispute a charge with your bank or card issuer instead of first contacting us, you acknowledge and agree that:

1. We will contest the dispute. We will provide your bank, the card networks and our payment processor (Stripe) with a full record of your account, including your purchases and renewals, your acceptance of this Agreement, your sign-in history (dates, times, IP addresses and locations), the alerts, bids and services delivered to you, and all communications between you and us.
2. Your account will be suspended immediately while the dispute is open, on every GovDirections Site, including RFP Delivery by GovDirections.
3. We may permanently refuse future service to you, your business and any account we reasonably believe is connected to you, whatever the outcome of the dispute. Your email address, business name and payment details may be added to our fraud-prevention records and those of our payment processor.
4. Amounts owed remain owed. If a dispute is decided in your favor but the Services were provided as described, we may pursue the balance, together with reasonable collection costs and fees, to the extent permitted by law.

16. Affiliate program

Affiliates are governed by this Agreement and our affiliate program terms. The affiliate program is a voluntary program of GovDirections, LLC and may be discontinued at any time, and we may deny any affiliate membership at any time.

17. Limitation of liability

The total liability of GovDirections, LLC for any claim shall not exceed the registration or initial fee paid. In no event shall GovDirections, LLC be liable to you for additional damages. We make no warranties respecting any harm resulting from use of our Sites or Services.

18. Termination

GovDirections, LLC may terminate your use of the Sites and Services at any time. Violation of any condition of this Agreement will result in termination of access without recourse.

19. Changes to this Agreement

We may update this Agreement. We will post the updated Agreement on our Sites at least ten (10) days before it takes effect, and we may ask you to read and accept it the next time you log in. If you do not agree, you may close your account by contacting us within that period. Continuing to use the Services after the effective date means you accept the updated Agreement.

20. Governing law

You agree that this Agreement and your use of the Sites and Services are governed by the laws of the State of Georgia, United States of America.
